Special Board Meeting Minutes 5/22/17 - MOVED BY NEWMAN/SALZMAN TO APPROVE A SUMMER GOLF COURSE BEAUTIFICATION PROJECT AT A COST OF $407,359, WITH $201,180 CLASSIFIED AS CAPITAL EXPENDITURE AND $206,179 CLASSIFIED AS MAINTENANCE ITEMS TO FLOW THROUGH THE 2017 OPERATING BUDGET.  UNANIMOUS.

 

Read the Karpel letter of May 30th, which goes into some detail.  Note that you can call something maintenance, but that doesn't make it maintenance.  Make no mistake, this is a 407K capital expenditure, commenced without member approval as required by our bylaws. 

 

Board meeting minutes, 6/23 - MOVED BY ZUCKER/SALZMAN THAT THE MEMBERSHIP VOTE TO FINANCE THE $407,359 GOLF COURSE BEAUTIFICATION PROJECT.  THE CONCEPT OF THE FINANCING IS AN INTEREST ONLY PERIOD THAT EXTENDS UNTIL THE ORIGINAL GOLF RENOVATION LOAN IS REPAID.  UPON REPAYMENT OF THE RENOVATION LOAN, THE PRINCIPAL ON THE BEAUTIFICATION LOAN WILL BE REPAID OVER TIME USING $200,000 (CURRENTLY USED TO REPAY THE RENOVATION LOAN) FROM HOME SALES AND THE NON-RESIDENT NON-EQUITY $100 PER MONTH CAPITAL PAYMENTS.  AS A RESULT OF THIS FINANCING STRUCTURE, NO MEMBER WILL HAVE TO PAY AN ASSESSMENT FOR THIS PROJECT.  UNANIMOUS.

 

On Saturday, September 16, 2017, members were sent the below letter.  It talks about how to pay for the project, but mentions nothing about voting for approval of the, now almost complete, beautification project.  You should insist that the project be approved by a member vote before paying for anything.  Agreeing to pay for an unapproved project rewards the Board's bad behavior and reinforces their belief that:

"WE ARE THE BOARD AND CAN DO AS WE PLEASE."

I am calling a special meeting of our membership on Sunday, October 22, 2017 at 3:00 pm in the Clubhouse.
The sole subject to be considered at this meeting is to determine how to finance and pay for our recent golf course beautification project in the approximate amount of $400,000.  This matter will have been considered by the Finance Committee in advance of this special meeting. Your input is necessary since the Board will make the determination shortly thereafter as to the manner to pay for this project.I hope you will be able to attend this meeting, as your input is important for the Board's consideration.
